Important Notice
Welcome to the NianNian Paid Membership (hereinafter referred to as the “Paid Membership”) service. To protect your rights and interests, please read this Service Agreement (hereinafter referred to as the “Agreement”) in full before using the Paid Membership service—especially the bolded sections. Minors should read this document under the supervision of a legal guardian.
You are not permitted to use the Paid Membership service unless you have fully read and agreed to all terms of this Agreement. Your purchase and/or use of the Paid Membership service constitutes your acknowledgment and acceptance of this Agreement.
Membership grants unlimited access to all features within the APP.
Article 1: Acceptance and Amendment of the Service Agreement
1.1 This Agreement includes the main body of the agreement as well as all rules currently published or that may be published/updated by the APP in the future. All such rules form an integral part of this Agreement and carry the same legal effect as the main text. In the event of any conflict between the main text and other rules, the main text shall prevail. Unless otherwise expressly stated, your use of the Paid Membership service is governed by this Agreement.
1.2 Should revisions to this Agreement or related service terms be necessary due to business development, they will be posted on relevant pages within the APP. You may review the latest version of the Agreement at any time. If you do not accept the revised terms, you may discontinue use of the Paid Membership service. Continued use of the service after such changes constitutes your acceptance of the amended Agreement.
Article 2: Definitions
2.1 “Paid Membership”: Refers to the online value-added services provided to you. Upon becoming a Paid Member, you may enjoy specific privileges, discounts, or participate in activities as outlined in this Agreement. The exact scope of services is subject to what is actually provided. NianNian retains full ownership and operational rights over the Paid Membership, including the exclusive right to design the membership system and organize related activities, and holds the final right of interpretation within the bounds of applicable law.
2.2 “User” or “You”: Refers to the individual or single legal entity receiving the Paid Membership services provided by NianNian.
Article 3: Procedure for Becoming a Paid Member
3.1 If you wish to use the Paid Membership service, you must apply to activate it.
3.2 You may activate the Paid Membership via Apple’s in-app purchase system on the activation interface. Please carefully verify all information during activation. If payment errors occur due to your own actions, the fees already collected will not be refunded.
Article 4: Terms Regarding Paid Membership Eligibility
4.1 If you voluntarily cancel or terminate your Paid Membership during its active period, no refund of the membership fee will be issued.
4.2 Once your Paid Membership is canceled or terminated, you will no longer be entitled to any Paid Membership benefits.
Article 5: Rules for Using Paid Membership
5.1 You represent and warrant that you are a natural person, legal entity, or organization with full civil rights capacity and full capacity for civil conduct, and that you are solely responsible for all actions taken while using the Paid Membership service. If you lack such legal capacity, NianNian reserves the right to seek compensation from your legal guardian or other responsible parties when liability arises under this Agreement or applicable law.
5.2 If you engage in any of the following behaviors, NianNian reserves the right—without prior notice—to immediately suspend or terminate your Paid Membership service without compensation or refund. You shall bear all resulting liabilities. If such actions cause loss to NianNian or any third party, you shall provide full indemnification:
(1) Obtaining Paid Membership for yourself or others for commercial or profit-making purposes;
(2) Renting, lending, selling, or otherwise transferring your Paid Membership account to any third party;
(3) Using any content obtained through the Paid Membership for purposes other than personal study, research, or private enjoyment;
(4) Using another person’s account to register for or access Paid Membership services;
(5) Gaining access to Paid Membership services through automated tools, bots, crawlers, screen-scraping software, or any non-standard methods;
(6) Acquiring Paid Membership through fraudulent, deceptive, or otherwise dishonest means.
5.4 In any of the following circumstances, NianNian reserves the right—without prior notice—to suspend or terminate one, several, or all services provided to you. You shall bear all resulting losses, and no compensation or refund will be issued. If such actions cause loss to NianNian or any third party, you shall provide full indemnification:
(1) The personal information you provided is false, inconsistent with your registration details, and you fail to provide reasonable verification;
(2) A competent administrative or judicial authority has issued a legally binding decision confirming your violation of laws or infringement of rights, or NianNian reasonably determines that your conduct violates this Agreement, published usage rules, or applicable laws and regulations;
(3) Your actions interfere with the normal operation of any part or function of NianNian;
(4) You use NianNian to conduct unauthorized activities, including but not limited to attaching advertisements, commercial content, or links to information obtained via NianNian;
(5) Your personal information or posted content violates national laws, social ethics, public order, good customs, infringes upon the legitimate rights of others, contains strong political content, incites controversy, or breaches this Agreement or NianNian’s publicly posted requirements;
(6) You use NianNian to engage in any illegal activity.
Article 6: Disclaimer of Liability
6.1 If you purchase or receive goods or services from third-party merchants (other than NianNian) through this Agreement, any disputes arising therefrom shall be resolved directly with the relevant third-party merchant. NianNian shall not be held liable.
6.2 You assume full legal responsibility for all actions taken by yourself and any guests you invite while participating in NianNian-organized events or using NianNian’s promotional and value-added services.
6.3 NianNian shall not be liable for any losses caused by third-party actions or omissions, force majeure, or other external factors—including but not limited to payment service failures, internet connectivity issues, telecom line outages, technical malfunctions, computer or network failures, system instability, or unauthorized acts by third parties.
6.4 You understand and agree that the use of Paid Membership services may be interrupted due to force majeure or other risk factors beyond NianNian’s control. In such cases, NianNian will cooperate with relevant parties to restore service as soon as reasonably possible, but shall not be liable for any resulting losses or obligated to refund membership fees.
Article 7: Miscellaneous Provisions
7.1 NianNian may suspend, interrupt, or discontinue the Paid Membership service due to its own business decisions, government actions, force majeure, or other reasons. In such cases, NianNian will notify users via public announcement but shall not be liable for any resulting losses or obligated to issue refunds.
7.2 Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China, excluding any conflict-of-law principles. Any dispute arising from or in connection with this Agreement shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-effective arbitration rules. The arbitral award shall be final and binding upon both parties. The losing party shall bear the arbitration costs.
7.3 Failure to exercise, delay in exercising, or partial exercise of any right under this Agreement or applicable law shall not constitute a waiver of that right and shall not affect its future enforcement.
