User Agreement
Please read this User Agreement (hereinafter referred to as the “Agreement”) carefully. If you have any questions regarding the content of this Agreement, please contact customer support immediately. Your use of the APP constitutes your full acknowledgment, understanding, and acceptance of all terms herein, and your commitment to comply with this Agreement. If you do not agree to these terms, please immediately discontinue all use of the APP’s services.
1. Service Description
The APP provides you with lifestyle utility services. NianNian reserves the right to adjust service offerings or product structures from time to time based on business development needs, in order to deliver an improved user experience.
2. Prohibited Activities
2.1 You agree not to engage in any improper or unlawful activities through the APP. Such prohibited conduct includes, but is not limited to:
(1) Opposing the fundamental principles established by the Constitution;
(2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
(3) Damaging the honor or interests of the state;
(4) Inciting ethnic hatred or discrimination, or undermining ethnic solidarity;
(5) Undermining state religious policies, promoting cults, or spreading feudal superstitions;
(6) Spreading rumors that disrupt social order or undermine social stability;
(7) Disseminating obscene, pornographic, gambling-related, violent, homicidal, or terrorist content, or inciting criminal activity;
(8) Defaming or slandering others, thereby infringing upon their legitimate rights;
(9) Containing any other content prohibited by applicable laws or administrative regulations.
2.2 NianNian’s staff may, at their reasonable discretion, take action against users who violate applicable laws, regulations, or this Agreement, or whose content or behavior infringes upon, threatens, or endangers the rights or safety of any person, or impersonates another individual. NianNian reserves the right to:
– Remove illegal, infringing, or inappropriate content from the APP;
– Terminate the membership of the violating user;
– Suspend or block access to all or part of the APP’s services;
– Preserve relevant information and report to competent authorities as required by law.
Should a judicial authority determine that NianNian’s actions under this clause were erroneous, you agree that NianNian shall bear no liability for any resulting consequences.
2.3 NianNian reserves the right at any time to provide alternative, modified, or upgraded versions of the software, and to charge fees for such updates. The software enables “update notifications” by default, though actual display may vary depending on your installed version. NianNian does not guarantee continued functionality of older versions after a new release. NianNian also reserves the right to unilaterally modify or restrict certain features of the software due to business needs, and you acknowledge and accept all associated risks.
3. User Rights and Obligations
You agree to comply with all terms of this Agreement and to use the service properly and appropriately. If you breach any provision of this Agreement, NianNian reserves the right to terminate your access to the service in accordance with this Agreement.
4. Disclaimer of Liability
4.1 You agree to indemnify and hold harmless NianNian, its affiliates, and partners from and against any third-party claims, demands, or losses (including reasonable attorneys’ fees) arising from your violation of this Agreement or related service terms.
4.2 NianNian and its partners shall not be liable for any losses caused by third parties (e.g., telecom providers), including but not limited to communication line failures, technical issues, internet or computer malfunctions, system instability, or any force majeure events.
4.3 In the event of service disruption due to technical failures or force majeure, NianNian and its partners will cooperate with relevant parties to restore service promptly, but shall not be liable for any resulting losses incurred by you.
4.4 Like most internet services, the APP may be affected by factors beyond our control, including user-side configurations, network quality, and socio-technical environments. Risks include, for example: unauthorized use of your personal data leading to real-world harassment; malware (e.g., Trojan horses) from third-party software or websites compromising your device security and data integrity, thereby affecting normal APP usage. You are solely responsible for enhancing your information security awareness, protecting personal data, and using strong passwords to prevent loss or harassment.
4.5 You acknowledge that online services are inherently subject to instability at various points in the delivery chain. Therefore, the service may be interrupted or fail to meet your expectations due to force majeure, computer viruses, hacker attacks, system instability, your geographic location, device shutdowns, or other technical, internet, or telecommunication issues. You assume all such risks. NianNian makes no warranties regarding uninterrupted or error-free service. NianNian shall not be liable for any failure to send, receive, or read messages, or for transmission errors.
4.6 You acknowledge that during your use of the service, you may encounter threatening, defamatory, offensive, illegal, or rights-infringing content or behavior from third parties, including anonymous or impersonated communications that violate intellectual property or other rights. You bear all associated risks. NianNian and its partners provide the service “as is” and disclaim all express or implied warranties, including but not limited to warranties of accuracy, fitness for a particular purpose, non-infringement, title, or merchantability. NianNian shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your improper or unlawful use of the service.
4.7 In no event shall NianNian be liable for any indirect, consequential, punitive, incidental, special, or exemplary damages (including lost profits) arising from your use of the service, even if NianNian has been advised of the possibility of such damages. Notwithstanding any contrary provision herein, NianNian’s total liability to you, regardless of the cause or form of action, shall not exceed the amount (if any) you paid to NianNian for the service during your membership period.
4.8 NianNian shall not be legally liable in the following circumstances:
(1) Disclosure of your personal information as required by law or government authorities;
(2) Disputes arising from third parties’ use of your personal information in accordance with this Agreement and related privacy statements;
(3) Temporary service suspension due to hacker attacks, virus intrusions, or government-imposed restrictions;
(4) Any consequences resulting from force majeure events;
(5) Any usage scenarios or disclaimers explicitly outlined in this Agreement and related statements.
5. Intellectual Property Protection
5.1 Intellectual Property Notice
(1) All intellectual property rights—including but not limited to copyright, trademark, patent, and trade secret rights—in the software and all related content (including text, graphics, icons, charts, colors, interface designs, layouts, data, printed or electronic materials) are protected under the laws of the People’s Republic of China (including the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law) and relevant international treaties. Except for third-party licensed components, all such rights are exclusively owned by NianNian.
(2) Without NianNian’s prior written consent, you may not use, reproduce, transfer, license, or permit any third party to exploit the aforementioned intellectual property for any commercial or non-commercial purpose. NianNian reserves the right to pursue legal action against unauthorized use.
6.2 Scope of Software License
(1) You may install, use, display, and run the software on a single end-user device solely for non-commercial purposes. You may not use the software for commercial operations, nor may you copy, modify, reverse-engineer, create derivative works (including via plugins, third-party tools, or external integrations), or manipulate data transmitted between the client and server or stored in device memory during operation.
(2) Without NianNian’s authorization, you may not install the software on any device not expressly permitted by NianNian, including but not limited to set-top boxes, handheld devices, telephones, mobile hotspots, gaming consoles, televisions, or DVD players.
(3) All rights not expressly granted herein remain the exclusive property of NianNian. Any additional rights must be obtained through separate written agreement.
